1. Scope
These terms and conditions (“Terms”) govern your participation as an expert in the Sourcelyn expert network operated by Sourcelyn Ltd (“Sourcelyn”, “we”, or “us”). By accepting an engagement through Sourcelyn, you agree to be bound by these Terms.
2. Eligibility
You represent and warrant that: (a) you are currently employed in the role and industry described in your expert profile; (b) you have the legal capacity to enter into these Terms; (c) participation in Sourcelyn consultations does not violate any agreement with your current employer; and (d) you have reviewed and understand your employer's policies on outside activities and determined that your participation is permissible.
3. Compliance Obligations
As a Sourcelyn expert, you agree to:
- Not disclose material non-public information (MNPI), trade secrets, or employer-confidential data during any consultation
- Disclose any potential conflicts of interest before accepting an engagement
- Provide only your personal views and professional expertise, not the position of your employer
- Not participate in engagements that relate to publicly traded securities of your employer or companies you have inside knowledge of
- Complete all required compliance screening and verification prior to each engagement
- Notify Sourcelyn immediately if your employment status changes
4. Compensation
You will receive the compensation rate agreed prior to each engagement. Payment will be processed within 14 business days of the completed consultation. Sourcelyn will provide applicable tax documentation as required. You are responsible for reporting and paying any taxes due on compensation received.
5. Engagement Process
For each engagement, Sourcelyn will provide you with a brief describing the topic, scope, and compliance requirements. You may decline any engagement for any reason. Acceptance of an engagement constitutes agreement to the specific terms of that engagement, including scheduling, duration, and compliance protocols.
6. Confidentiality
You agree to keep confidential: (a) the identity of the client requesting the consultation; (b) the specific questions or topics discussed; and (c) any details about the client's research project. This obligation survives the termination of these Terms.
7. Intellectual Property
Insights and opinions shared during consultations are provided in your personal capacity. You retain ownership of your personal expertise and professional knowledge. You grant Sourcelyn and the client a non-exclusive right to use the insights provided during the consultation for the purposes of their research.
8. Termination
Either party may terminate the expert relationship at any time by providing written notice. Sourcelyn reserves the right to immediately remove any expert from the network who violates these Terms, fails compliance screening, or engages in conduct that could harm the reputation or integrity of the network.
9. Limitation of Liability
Sourcelyn's total liability to you under these Terms shall not exceed the compensation paid to you for the relevant engagement. Sourcelyn shall not be liable for indirect, consequential, or punitive damages arising from your participation in the network.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
